This page describes how Vimera intends to operate and is presented to every new user at sign-up, but it has not yet been reviewed and signed off by qualified legal counsel. Treat it as a good-faith statement of current practice, not a finished, lawyer-reviewed contract.
1. Who this covers
These Terms & Agreements apply to every person or business that creates a Vimera account — whether a general (personal) account or a business account — and to every use of the Vimera wallet, ledger, marketplace, cash-on-delivery, and related tools.
2. What Vimera is
Vimera is a digital ledger and business-operations platform for Zimbabwean micro, small and medium enterprises. It records transactions, calculates fees and tax estimates, tracks a credit-readiness score, and facilitates cash-on-delivery orders and wallet-to-wallet transfers between businesses. Vimera is not a bank; wallet balances are ledger entries within Vimera's own system, not a deposit-taking account, unless and until stated otherwise.
3. Your account
You are responsible for keeping your login credentials secure and for the accuracy of the business information you submit (registration number, ZIMRA TIN, and any supporting documents). Submitting false registration or tax information may result in suspension of verification status or account access.
4. Fees
Vimera charges fees on some activity — wallet-to-wallet transfers and cash-on-delivery settlement, for example — at rates shown in-product at the time of the transaction. Fee rates are configurable and may change; Vimera will not apply a fee to a transaction retroactively. Subscription plans, where applicable, are billed at the price and currency shown when you choose a plan.
5. Verification & the Vimera tick
Verified status (the gold tick) reflects Vimera's own review of submitted registration details and, where provided, a certificate upload — it is not a government endorsement and does not itself constitute proof of tax compliance or legal registration.
6. Data & privacy
How Vimera collects, uses, and protects your data is described in the Data Protection notice, which forms part of these Terms.
7. Suspension & termination
Vimera may suspend or close an account that is used fraudulently, that repeatedly triggers fraud-monitoring review with a confirmed adverse finding, or that materially breaches these Terms. You may close your own account at any time; ledger records already posted remain retained per Vimera's data-retention practice for as long as required for accounting, tax, and dispute-resolution purposes.
8. Changes to these Terms
When these Terms change materially, the version date above changes and existing users may be asked to accept the new version before continuing to use affected features.
